Terms of Service

These terms govern your access to and use of Nori SEO. Please read them carefully — by using the Service, you agree to them.

1. Agreement to Terms

These Terms of Service (the "Terms") are a binding agreement between you and Nori SEO ("Nori SEO," "we," "us," or "our") governing your use of the noriseo.com website and the Nori SEO application (together, the "Service").

By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

If you do not agree to these Terms, do not use the Service.

2. The Service

Nori SEO provides tools to analyze, monitor, and improve website search engine performance, including site audits, keyword tracking, and reporting. We are constantly improving the Service and may add, change, or remove features from time to time. Where a change materially reduces the core functionality of a paid plan, we will provide reasonable advance notice.

3. Accounts

  • You must be at least 16 years old and provide accurate, complete registration information.
  • You are responsible for safeguarding your password and for all activity under your account. Notify us immediately at support@noriseo.com if you suspect unauthorized use.
  • One person or entity may not maintain multiple free accounts to circumvent plan limits.

4. Subscriptions & Billing

Plans and pricing

Paid features are offered through subscription plans described at noriseo.com. Prices are stated in U.S. dollars unless indicated otherwise and exclude any applicable taxes, which you are responsible for.

Automatic renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual, depending on your plan) until cancelled. Your payment method will be charged at the start of each period. By subscribing, you authorize us and our payment processor to charge the applicable fees.

Price changes

We may change subscription prices with at least 30 days' notice by email. Price changes take effect at your next renewal — never mid-cycle.

Failed payments

If a renewal payment fails, we will retry it and notify you. We may suspend or downgrade your account if payment is not received within a reasonable period.

Free trials

If a plan includes a free trial, you will not be charged until the trial ends. Cancel before the trial ends to avoid charges. We may limit trial eligibility to prevent abuse.

5. Cancellation & Refunds

  • Cancelling — you can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access to paid features until then.
  • Refunds — except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or downgrades. If you believe you were charged in error, contact us within 30 days at support@noriseo.com and we will review it in good faith.
  • Data after cancellation — after your subscription ends, your account may be downgraded to a free tier or scheduled for deletion in line with our Privacy Policy. Export any reports you want to keep before cancelling.

6. Acceptable Use

You agree not to, and not to permit anyone else to:

  • Use the Service to violate any law or the rights of others, or to analyze websites you have no lawful right to analyze;
  • Probe, scan, or test the vulnerability of the Service, or circumvent any security or rate-limiting measures;
  • Scrape, harvest, or bulk-export data from the Service except through features we provide for that purpose;
  • Resell, sublicense, or provide the Service to third parties as a service bureau without our written consent;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service;
  • Use the Service to send spam, distribute malware, or engage in deceptive SEO practices that violate search engine terms;
  • Impose an unreasonable load on our infrastructure or interfere with the Service's operation.

We may suspend or terminate accounts that violate this section, with or without notice depending on severity.

7. Your Content & Data

You retain all rights to the domains, keywords, and other content you submit to the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, process, and display Your Content solely to provide and improve the Service. You are responsible for having the rights necessary to submit Your Content.

We may use aggregated, de-identified usage data that does not identify you or any individual to operate, benchmark, and improve the Service.

8. Our Intellectual Property

The Service, including its software, design, reports, templates, and branding, is owned by Nori SEO and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription. Reports you generate may be shared with your clients and colleagues; the underlying software and data infrastructure remain ours. No rights are granted except as expressly set out in these Terms.

9. Third-Party Services

The Service depends on and may interoperate with third-party services — for example, hosting providers, payment processors, analytics (including HeyCatch), and search data sources. We are not responsible for third-party services, and your use of them may be subject to their own terms. If you connect a third-party integration to your account, you authorize us to exchange data with it as needed to provide the feature.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NORI SEO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DATA (INCLUDING RANKINGS, TRAFFIC ESTIMATES, AND AUDIT RESULTS) WILL BE ACCURATE OR COMPLETE, OR THAT ANY RECOMMENDATION WILL PRODUCE ANY PARTICULAR RESULT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NORI SEO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR SEARCH RANKINGS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Nori SEO and its officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service (in which case paid subscribers receive a pro-rata refund for the unused portion of any prepaid period — the only exception to our no-refund policy). Sections that by their nature should survive termination (including Sections 7, 8, and 10–14) survive.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Before filing any claim, you agree to contact us at support@noriseo.com and attempt in good faith to resolve the dispute informally for at least 30 days. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in California, and both parties consent to their jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, cancel your subscription before the changes take effect.
